Request you to meticulously read the terms and conditions of this legally binding agreement between you and Promonique Research India LLP (referred as PRIL). By booking to attend any event, you confirm that you have read and agree to these terms.

1. Bookings for Events

a. Placing bookings

1. The following terms apply whether you are booking to attend an event in person (“Physical Event”) or online (“Digital Event”). Some events can be attended as either a Physical Event or a Digital Event. Individuals who attend (or register to attend) any event are referred to in these terms as “Attendees”.

2. On booking (or, for group bookings, on registration), you must provide PRIL with accurate, complete registration information, and it is your responsibility to update PRIL in case of any change to that information. PRIL is entitled to rely on any information you provide to us.

3. Each registration is for a single user only. The email address that you provide on booking and/or registration must correspond to a named email account and not a generic or shared email account. Attendees must be over the age of 18 years.

b. Confirmation of bookings

1. All bookings are subject to availability and acceptance by PRIL, which will be confirmed in writing (including by email), basis which PRIL has received the completed registration form (or, for group bookings, the initial booking form), the related fees if required (the “Fees”), and anything else that PRIL may require.

2. Upon PRIL's written confirmation to you of its acceptance of your booking for a place at an event, there will be a legally binding contract between PRIL and you to which these terms apply.

3. PRIL reserves the right to refuse or accept any booking.

c. Digital Services

1. Your email address will comprise your ID (“ID”) for logging in to any Digital Services, where “Digital Services” means: (a) any digital networking app or other tools provided for use at any Physical Event and/or (b) any website or app used to host a Digital Event or to provide Community Features (as defined in Section 3 below) for a Digital Event.

2. You are responsible for the use of all Digital Services made by you or anyone else using your ID, and for preventing unauthorised use of your ID. In particular, where we provide you with a unique link for logging in to any Digital Services, you should ensure that this is not shared with anyone else, as it will be tied to your ID.

3. If you believe there has been any breach of security such as the disclosure, PRIL, or unauthorised use of your ID or any payment information, you must notify PRIL immediately by emailing us at info@promonique.com.

d. Fees

1. The fee for each event is correct at the time of publication. PRIL reserves the right to change the fee at any time but changes will not affect registrations which have already been confirmed by PRIL. The fee is payable at the same time as you submit your booking (and in any event must be paid before the earlier of the date: (i) you receive your event passes and/or logins for the event and (ii) the event, by card payment or bank transfer). Should you require an invoice, you must request this promptly in order to meet the above payment dates. You acknowledge that PRIL cannot guarantee places held on a provisional basis and that places may sell out. Fees shall be paid in full without any set-off, counterclaim, deduction, or withholding (other than as may be required by law).

2. The fee does not include travel to or from the event or any accommodation costs incurred.

3. Under GST regulations, attendees from all countries are required to pay GST at the applicable rate on all events taking place in India. For events in other countries, attendees are required to pay tax, excise duty, or other sales tax, as applicable.

e. Changes, cancellations, and postponements

1. Whilst our programmes are correct at the time of going to press, in certain circumstances, it may be necessary for PRIL to alter the content, format, speakers, venue, or timing of an event. All attendees will be notified of such changes prior to the event.

2. If you cannot attend an event for which you have registered, please contact PRIL as soon as possible (and in any event no later than 24 hours before the event) at info@promonique.com or Delegate Services Department, 411, Surya House, Vidya Vihar East, Mumbai 400077. PRIL may, at our absolute discretion, allow a substitute to attend the event in your place (provided
PRIL has received the details of the substitute in advance) or allow you to redeem the amount of any paid fees against the next available event.

3. If you notify us that you wish to cancel your attendance at a Physical Event for which a fee has already been paid, cancellation charges will apply as follows unless the fee is redeemed against the next available event, as set out in Subclause 2 above. Please note that refunds may take up to 14 working days:

The refund will be distributed in the same form as the original payment was received (e.g., credit card payment will be refunded to the same credit card account number), or, if the request for a refund is made 8 weeks or beyond your payment, via wire transfer.

1. All fees for Digital Events are non-refundable, except for the circumstances described in Subclause 2 below.

2. PRIL may in exceptional circumstances need to postpone or cancel an Event, and we will notify you as soon as reasonably practicable of any such postponement or cancellation. If an event is cancelled or is postponed and you cannot attend the event on the rearranged date, we will either mutually agree with you to transfer the fees to an alternative event booking or refund the fees you have paid in advance within 8 weeks (using the original payment method used to pay for the booking or via wire transfer to a bank account, the details you will provide to us on our request). You agree that PRIL’s liability to you will be limited to the fee amount you have paid and that PRIL will not be liable to you for any expenditure, damage, or loss incurred by you as a result of the cancellation or postponement.

3. PRIL reserves the right to cancel your attendance at the event and retain any fee received in respect of your proposed event attendance if you (or any of the shareholders or directors of the legal entity which you represent) become(s) subject to any Sanction, or continuation of these terms would (in the reasonable opinion of PRIL) expose PRIL or any of its affiliated companies to any Sanction, where “Sanction” means any sanction, prohibition, or restriction under United Nations resolutions or the trade or economic sanctions, laws, or regulations of India

4. PRIL may amend or cancel a booking at any time, including (without limitation) if maximum booking numbers (whether limited by person or by company) have been exceeded or if your payment method has been declined. If there is a material change to, or cancellation of, your booking, PRIL will notify you as soon as reasonably practicable of such amendment or cancellation and will refund any fee you have paid. PRIL will not be responsible for any costs or
expenses you have incurred on the booking in excess of the fees you have paid. Section 6 (“Limitations on PRIL’s Liability”) applies to this subclause.

2. Attending Physical Events

a. Your attendance at the event

1. Please advise us of any special access or dietary requirements at the time of making your booking for any Physical Event.

2. PRIL reserves the right, without any liability, to refuse you admission or eject you from any Physical Event for failure to comply with these terms or if in PRIL’s opinion you represent a security risk, nuisance, or annoyance to the running of the event. You agree that you will comply with the policies (including regarding health and safety) applicable at the venue.

3. You are responsible for arranging your own appropriate insurance cover in connection with your attendance at any Physical Event. To the maximum extent permitted by law, PRIL will not be liable for any kind of loss or damage to you or your personal property, unless caused by our negligence.

4. Materials distributed by or on behalf of PRIL at a Physical Event may not be reproduced without PRIL’s permission and are for your personal use only.

b. Filming, photography, livestreaming, and recordings

1. Except as otherwise instructed at a Physical Event, you are permitted to make video or audio recordings of up to 20 seconds duration each and to take photographs at any Physical Event, in each case for your own personal use. You must not make video or audio recordings which are longer than 20 seconds in duration or livestream an event or any session within an event, or use any recordings or photographs or livestreams from an event for commercial purposes, unless expressly permitted by PRIL.

2. You acknowledge that any Physical Event or part of it may be filmed by audio, visual, audiovisual, or electronic means or photographed, including photographs of individual attendees or groups of attendees. You agree to permit PRIL, or any third party licensed by PRIL, to use and distribute such footage and photographs, which may feature images of you, in all or any media (including social media) whether now known or hereafter to be invented throughout the world in perpetuity for the purposes of advertising, publicity, reporting and otherwise in relation to the exploitation of such recordings and photographs. Please inform the photographer if you do not wish to be included in any individual or group photographs.

3. Attending Digital Events

a. Your access to the event

1. The Digital Event is a web-based event which can be accessed through desktop/laptop or mobile devices using the link provided in the confirmation email sent to you. The Digital Event can be accessed live or for a limited time after the event has taken place.

2. You are solely responsible for ensuring that you have the necessary desktop/laptop or mobile equipment and Internet connection for accessing the Digital Event.

3. PRIL reserves the right, without any liability, to refuse you access or eject you from the Digital Event for failure to comply with these terms; or if in PRIL’s opinion your attendance would be in breach of applicable laws or if you represent a security risk, nuisance, or annoyance to the running of the Digital Event.

4. You are not permitted to make your own video or audio recordings of the Digital Event, or use any photographs or screenshots of the Digital Event for commercial purposes, unless expressly permitted by PRIL.

5. Materials distributed by or on behalf of PRIL in connection with a Digital Event may not be reproduced without PRIL’s permission and are for your personal use only.

b. Attendee Content and Community Features

1. A Digital Event may include features allowing attendees to post questions, comments, messages, and other content (together, “Attendee Content”).

2. The Digital Event may allow all or some attendees to access additional networking features (“Community Features”) that enable them to directly contact other attendees who have access to the same features.

3. Attendee Content may comprise:
(i) Attendee Content that is visible to any attendee who accesses the Digital Event or any particular session within the Digital Event (“Public Content”);
(ii) Attendee Content that is visible only to any attendee with access to the Community Features in which it is posted (“Community Content”); or
(iii) Attendee Content that is visible only to the individual attendee or attendees to which it is addressed, using any private messaging functionality within the Digital Event (“Private Content”).

4. You must not post, link to, or otherwise publish any Attendee Content that:
(i) Is not your own original work or which breaches confidentiality or infringes the copyright or other rights of any third party;
(ii) Contains any form of advertising or promotion for goods and services or any spam or other form of unsolicited communication;
(iii) Contains any recommendation to buy or not buy a particular share or other
investment or which contain confidential information of another party or which otherwise have the purpose of affecting the price or value of any share or other investment;

(iv) Is threatening, offensive, libellous, indecent, or otherwise unlawful;
(v) Is discriminatory in nature; for example, comments which make attacks on the grounds of race, religion, sex, gender, sexual orientation, disability, or age;
(vi) Personally attacks any event speaker or any other individual participating in the event;
(vii) Contains software viruses, files, or codes designed to interrupt, destroy, or limit the functionality of the site, the Digital Event, or any computer software or equipment.

5. You acknowledge that PRIL cannot control the Attendee Content posted by others. So, we cannot, therefore, guarantee the accuracy, integrity, or quality of any Attendee Content. Some users may not behave properly and may post Attendee Content that is misleading, untrue, or offensive.

6. PRIL reserves the right to monitor or review any Public Content or Community Content, though it is not possible for us to fully monitor all Public Content or Community Content. PRIL also reserves the right to access and review any Private Content in respect of which any complaint is made by its recipient. PRIL may remove any Attendee Content that is potentially in
breach of these terms. We may also ban an attendee from posting any further Attendee Content or eject them from the Digital Event.

7. If you post any Public Content, you are granting PRIL a right (but not an obligation) unlimited in time to publish, re-use, archive, modify, delete, or commercially exploit that Public Content in whole or in part as we see fit, without any requirement to pay you for this, and with or without attribution or notice to you. This means that you grant us a worldwide, non-exclusive, perpetual, irrevocable, royalty-free licence to use any Public Content you publish in whole or in part in any manner and for any purpose whatsoever and without further obligation to you. You also waive any moral rights that you may have in regard to the Public Content.

4. Use of Your Details

Use of your details

1. All information received by us from your use of our Digital Services or your attendance at any event will be used by PRIL in accordance with our privacy policy. Please read this for details of how we may process your personal data. In particular, PRIL may contact you as required for the organisation and administration of the Digital Services or any event.

2. If you provide PRIL with an email address that will result in any messages PRIL may send to you via a network or device operated or owned by a third party (e.g., your employer or colleague), then you promise that you are entitled to receive those messages. You also agree that PRIL may stop sending messages to you without notification.

3. Where an event is stated (in the booking process of that event) to have an “Attendee List”, it means that the names, job titles, and organisations of all registered attendees at that event will be included on the list provided to speakers, sponsoring companies, and (for Physical Events) other attendees at the event. You can opt out of being included in the Attendee List by emailing to
info@promonique.com.

4. For Digital Events, the Attendee List is not made available to attendees (other than speakers and sponsoring companies, as set out in Subclause 3 above). However, your details may be available to other attendees if you post Attendee Content or make use of Community Features, as those terms are defined under “Attendee Content and Community Features” in Section 3 above.

5. Attendees and any individuals who sign up for a list of organisations who will be at an event must not use the Attendee List and/or the list of the attending organisations, for their own promotional and marketing purposes; for example, by using the Attendee List for sending any form of unsolicited communications to other attendees.

6. PRIL will contact you only for marketing purposes, and will pass on your contact details to sponsors only for marketing purposes, to the extent that you agree to this (e.g., during the booking process for your account or for any event).

5. Terms for Speakers

Terms for speakers

1. If you are a speaker or moderator at any event, you acknowledge that any or all of the following may apply to your involvement in the event:

(i) You may be recorded (video and/or audio) and/or photographed during the course of your contribution to the event, and PRIL may make such recordings or photographs publicly available at its discretion;

(ii) PRIL may share your contact details with other speakers and/or sponsors for the event, for purposes relating to your participation in the event;

(iii) PRIL may mention you on our social media channels, with or without your
photograph;

(iv) You will provide PRIL with your materials (including any amendments to your materials reasonably requested by PRIL) for the event (including your headshot) before any deadline communicated by PRIL to you. If you have any concerns about any of the above, please speak to your PRIL contact for the event.

2. If you are a speaker or moderator at any Digital Event, it is your responsibility to ensure that you have the necessary software, equipment, and Internet access to participate in the Digital Event. Details will be provided of who to contact if you encounter any technical difficulties before or during your participation in the Digital Event.

3. You confirm that your contribution to the event will comprise your own original content and that you will either own, or have permission to use, any materials you use, distribute, or display at the event (e.g., any slides, handouts, or other presentation materials) or which you permit PRIL to use, distribute, or display on your behalf in relation to the event.

4. You grant, and you confirm that you have the permission to grant, PRIL to use (at its discretion) your organisation’s branding or logo in our marketing materials for an event at which you are a speaker.

6. Limitations on PRIL’s Liability

a. Event content

1. In these terms, “Event Content” means any content communicated, supplied, displayed, or otherwise made available by us, or by any speakers, at or in connection with any event. This includes, but is not limited to, any presentations, handouts, slides, or audiovisual materials.

2. Event Content is only for your general information and entertainment purposes, and is not intended to address your particular requirements. In particular, Event Content does not constitute any form of advice, recommendation, representation, endorsement, or arrangement by PRIL or by any speaker. It is not intended to be and should not be relied upon by you in making (or refraining from making) any specific investment, purchase, sale, or other decisions. Appropriate independent advice should be obtained before making any such decision, such as from a qualified financial adviser.

3. Views expressed by speakers are their own and both PRIL and the speakers disclaim all liability for advice given or views expressed during an event.

4. Any agreements, transactions, or other arrangements made between you and any other attendee at any event (or any other user of any Digital Services) are at your own responsibility and entered into at your own risk.

b. What we promise

1. PRIL promises to develop and operate any event and Digital Services with reasonable skill and care, and in accordance with good industry practice and all applicable laws.

c. What we do not promise

1. PRIL does not provide any other promises or warranties about any event, Digital Service, or Event Content. Digital Services and Event Content are provided on an “as is” and “as available” basis. This means that PRIL does not make any promises in respect of any Events or Digital Services or the services and functions available at, on or through any Events or Digital Services, or of the quality, completeness, or accuracy of any Event Content other than as that expressly stated above.

2. The above disclaimers apply equally to your use of any Digital Services and your attendance at any event. Without limiting the above, PRIL is not liable for matters beyond its reasonable control. PRIL does not control third party communication networks (including your Internet service provider), the Internet, acts of God, or acts of third parties.

d. Our financial responsibility to you

1. You agree that if we are in breach of these terms, we will only be responsible to you for any damages that you incur arising out of your attendance at any events or your use of any Digital Services or Event Content (to the extent that PRIL’s liability is not otherwise excluded by this Section 6) as follows:

(i) If you incur any loss as a result of attending any events or using any Digital Services or Event Content outside the scope of these terms, PRIL accepts no responsibility (liability) to you for this.

(ii) You will be responsible for all claims, liabilities, damages, cost, and expenses suffered or incurred as a result of your breach of these terms.

(iii) PRIL will only be responsible for loss or damage you suffer, which is the reasonably foreseeable result of PRIL’s breach of a legal duty of care owed to you, but in no event shall the liability of PRIL or its affiliates exceed the amount, if any, paid by you to PRIL for the particular event or Digital Services.

(iv) PRIL will not be responsible to you for any loss or damage suffered by your business, such as lost data, lost profits, or any business interruption or any indirect or consequential loss.

2. The limitations of liability in Section 6 apply for the benefit of PRIL, its affiliates, including those listed in the section headed “PRIL contracting entity” below, and all of their respective officers, directors, employees, agents, or any company who we transfer our rights and obligations to in accordance with these terms.

3. PRIL’s liability will not be limited in the case of death or personal injury directly caused by PRIL’s negligence or for any other matters in those countries where it is unlawful for PRIL to seek to limit such liability.

7. General Legal Provisions

a. Other

1. These terms contain the entire agreement between you and PRIL.

2. If any provision of these terms is held to be invalid, illegal, or unenforceable for any reason by any court of competent jurisdiction, such provision will be severed and the remainder of the provisions will continue in full force and effect as if the terms had been executed with the invalid, illegal, or unenforceable provision omitted.

3. Any express or implied waiver to perform any obligations under these terms will not prevent the subsequent enforcement of them.

4. A person who is not a party to these terms has no right under the Indian Contract Act to enforce any of these terms.

5. These terms will be governed by Indian law and you irrevocably submit to the exclusive jurisdiction of the Indian courts. Nothing in this clause will limit PRIL's right to take proceedings against you in any other court of competent jurisdiction.

b. Changes to these terms

1. These terms were published on 1/04/2025 and apply until they are superseded by a new version.

2. PRIL may update these terms for legal or regulatory reasons, or to reflect changes in our services or business practices. We will provide notice of any significant changes in this section of our terms. You should regularly check this section to see if any changes have been made.

8. Video on Demand Terms

Video on demand terms

1. The following terms in this section apply, in addition, only where you are purchasing a standalone video on demand package (“VOD”).

2. References in these terms to an Event or Digital Event or Digital Services will be deemed to include references to VOD.

3. Clause e, Subclauses 2 and 3 of Section A will not apply to VOD. For the avoidance of doubt, all fees for VOD are non-refundable, except in the circumstances described in Clause f, Subclause 2 of Section A.

4. Unless terminated or cancelled earlier in accordance with these terms, your access to VOD will end at either the expiry of the access period specified to you at the time of your purchase, or, if no period is specified, 90 days after the last day of the event(s) that is the subject of the VOD.

5. Where we decide, in our discretion, to enable sharing of VOD, you agree that

(i) Any use or sharing of the VOD by you is: (a) for your own personal use or (b) for educational instruction for a non-commercial purpose in which case you will accompany such use with a sufficient acknowledgement; and

(ii) You will not sell or otherwise commercially exploit the VOD.

9. Fixed Income Events

Fixed income events

1. The following terms in this section apply for Fixed Income Events only.

2. All information received by us from your use of our Digital Services or your attendance at any Fixed Income Event will be used by PRIL in accordance with our privacy policy.

3. The registration details of each attendee must be registered (whether in their personal capacity, as a representative of a company, or other legal entity) with us not less than two business days before the start of the event. We reserve the right to exclude any individual from any event whose name does not appear on our register of attendees at the start of the event.

4. If you register for an event as a representative of a company or an organisation, you confirm that you have the authority to agree to these terms on their behalf and you shall ensure their attendee(s) are made aware of these terms.

5. Where an event requires an event pass to enable entry, you may be required to provide evidence of your identity for your pass to be issued to you. Attendees must keep their event pass with them throughout their presence at the event, and PRIL reserves the right to refuse entry to or eject attendees who fail to produce a pass when requested.

6. If your event pass is lost, misplaced, stolen, or forgotten, a replacement event pass will be issued to you at the sole discretion of PRIL and may be subject to purchase at the prevailing on- site attendee rate.

7. All event passes are the property of PRIL and must be returned to PRIL upon request. Attendees found wearing falsified event passes and/or sharing or swapping event passes may be required to leave the event.

8. Unless otherwise agreed in writing by PRIL, attendees are permitted to conduct business only within a designated exhibit space at the event. Attendees observed conducting business in public spaces or in other companies’ exhibition spaces may be required to leave the event.

9. PRIL may offer attendees the opportunity to attend an ancillary event (“Ancillary Event”), in which case specific ancillary terms may apply (“Ancillary Terms”). Such Ancillary Terms shall be contained in the materials provided to you when you register to attend an Ancillary Event and shall apply in addition to these terms. If there is any inconsistency between these terms and any applicable Ancillary Terms, the Ancillary Terms shall take precedence in relation to the Ancillary Events.
